Terms of Service
Overview
These Terms of Service govern the relationship between Glenops (“we”, “our”, “us”), an independent WebOps practice based in Alexandria, Ontario, Canada, and any client or prospective client (“you”) who engages our services or uses this website.
Last updated: August 6, 2026.
Services
Glenops provides WebOps services including website monitoring, security hardening, performance optimisation, backup management, infrastructure coordination, and web engineering. The specific services, scope, and pricing for each engagement are defined in the written proposal or retainer agreement issued before work begins.
We reserve the right to decline any engagement at our discretion.
Retainer agreements
Monthly retainer services are billed in advance on the first of each month. Retainers cover the defined service scope only — work outside that scope is quoted separately and requires your written approval before we proceed.
Project work
Fixed-price projects are quoted in writing. Payment terms are stated in the project proposal. Work begins upon receipt of any agreed deposit. No unauthorised charges are ever made.
Your responsibilities
- Provide accurate access credentials and notify us promptly of any changes.
- Maintain a backup of any content or data you consider critical, independent of our backup service.
- Ensure you hold the legal right to any content, code, or assets you ask us to work with.
Limitation of liability
To the maximum extent permitted by applicable law, Glenops’ total liability to you for any claim arising from these terms or our services is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or data loss, even if we have been advised of their possibility.
We make reasonable efforts to prevent downtime and data loss but cannot guarantee uninterrupted service, as we do not control hosting infrastructure, third-party APIs, or external registrars.
Intellectual property
Upon receipt of full payment, any custom code or deliverables created specifically for your project become your property. Pre-existing tools, frameworks, or libraries we use remain our property or the property of their respective open-source licensors.
Confidentiality
We treat all client credentials, business information, and technical details as confidential. We do not share this information with third parties except where required to deliver the agreed services (e.g. passing credentials to a hosting provider on your behalf).
Cancellation
Either party may cancel a monthly retainer with 30 days’ written notice. Fees already paid for the current billing period are non-refundable but services will continue through the end of that period. Project work may be cancelled by you at any time; you are liable for fees corresponding to work completed to the date of cancellation.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email to active clients at least 14 days before taking effect. Continued use of our services after that date constitutes acceptance of the updated terms.
